Ministerial Terms and Conditions of
Covenant Leadership Association/Affiliation

The Ministerial Covenant of Leadership Association/Affiliation of Shekhinah Christian Life Ministries, Transnational is a bilateral contract that states the provisions, terms, conditions, operative acts, and obligations under which an associate/affiliate proffers vocational competence to use and access connectional commissions, services, products, physical properties, subsequent agencies and institutions; including, without limitation, online courses, membership subscriptions and information about careers in Christian ministry through websites, mobile sites, mobile apps, or other properties owned by Shekhinah Christian Life Institutional Fellowship, an ecclesiastical operative pursuant of the Official Doctrine and Discipline of Shekhinah Christian Life Ministries, Transnational. These Associative/Affiliative Terms and Conditions of Service should be carefully read as they contain important information regarding associative and affiliate legal rights and obligations regarding how disputes between an associate/affiliate leader and Shekhinah Christian Life Institutional Fellowship and/or its Transnational Ministries will be resolved. Certain products and services may be subject to additional terms and conditions, or other policies as may be set forth for an associate/affiliate, employee, agent, or a third party who has executed a separate agreement with Shekhinah Christian Life Institutional Fellowship. Associate/Affiliate usage of Shekhinah Christian Life’s Official Doctrine and Discipline constitute an agreement to these provisions, terms, conditions, covenants of service, and all applicable additional provisions and terms.

All inquiries of interest in Shekhinah Christian Life Institutional Fellowship is appreciated. Pursuant to these associative/affiliate terms and conditions of service, the Official Doctrine and Discipline of Shekhinah Christian Life Ministries, Transnational may also herein be referred to as the (Official Doctrine and Discipline or Doctrine and Discipline); and the connectional web site located at www.shekhinah-christian-life-transnational-ministries.org is hereinafter referred to as the (Official Website). Additional websites proprietary to Shekhinah Christian Life Institutional Fellowship are hereinafter referred to as (Secondary Websites). The Official Doctrine and Discipline, and Official/Secondary Websites are the property of Shekhinah Christian Life Institutional Fellowship and its associated/affiliated churches, ministries, congregations, institutions, subsidiaries, agencies, and corporations. By using the Official Doctrine and Discipline or Official/Secondary Websites, inquirers agree to comply and be bound by the following Provisions, Terms, and Conditions of the Official Doctrine and Discipline of Shekhinah Christian Life Ministries, Transnational and any and all applicable operating rules, policies, procedures, supplemental terms, conditions, or documents that may be published from time to time, which are expressly incorporated herein by collective reference as the Ministerial Covenant of Leadership Association/Affiliation. The Ministerial Covenant of Leadership Association/Affiliation may hereinafter be referred to as the “Association Agreement,” “Affiliation Agreement,” “Agreement, terms, and conditions of the Ministerial Covenant of Leadership Association/Affiliation. Should a person or entity not agree or refuse to acquiesce to the Ministerial Covenant of Leadership Association/Affiliation in its entirety, then that individual or entity is not authorized to use the Official Doctrine and Discipline, Connectional materials, and Official/Secondary Websites in any official capacity, manner, or form.

IN CONSIDERATION OF and as a condition of the Ministerial Covenant of Leadership Association/Affiliation and Shekhinah Christian Life Institutional Fellowship providing the Confidential, Proprietary, Classified information to the Associate/Affiliate in addition to other valuable consideration, the receipt and sufficiency of which consideration is hereby acknowledged, the parties to the Ministerial Covenant of Leadership Association/Affiliation acknowledge and agree as follows:

1. General Provisions: Provisions within the Ministerial Covenant of Leadership Association/Affiliation include by direct or indirect reference the following:

A. Goverance: The mission, vision, values, guiding principles, ministry paradigm,
theological abstracts, principles and Articles of Christian Life, constitution, policies, polity, rubrics, conferences, institutions, organizations, procedures, ecclesia rituals, restrictive rules of Shekhinah Christian Life Institutional Fellowship that comprise the manifesto and governing instrument of Shekhinah Christian Life Ministries is entitled:

Shekhinah Christian Life Ministries, Transnational

B. Requirements: The Official Doctrine and Discipline and Official/Secondary
Websites are usable primarily to individuals who can enter legally binding contracts under applicable law. Therefore, the Official Doctrine and Discipline or Official/Secondary Websites are not recommended for usage by individuals under eighteen (18) years of age. Hence, an individual less than eighteen (18) years of age, unless emancipated by law or possess written parental authorization, does not have permission to enter into a binding agreement with Shekhinah Christian Life Institutional Fellowship, its Official Doctrine and Discipline, and Official/Secondary Websites. By accessing or using the Official/Secondary Websites and/or the Official Doctrine and Discipline, an Associate/Affiliate acknowledge to have read, understood, and agree to be legally bound by the Ministerial Covenant of Leadership Association/Affiliation which includes the use of arbitration to resolve disputes between the Associate/Affiliate and Shekhinah Christian Life Institutional Fellowship.

C. Scope: An applicant may be employed, commissioned, and entrusted to perform certain acts, functions, duties, responsibilities, and obligations as an associate/affiliate for a certain position. In addition to such commission or position, the Ministerial Covenant of Leadership Association/Affiliation also covers any contract, employment, position, obligation, or responsibility presently or subsequently held by an Associate/Affiliate with Shekhinah Christian Life Institutional Fellowship.

D. Non-Solicitation: As a prerequisite and condition to association or affiliation, an
applicant agrees not to directly or indirectly engage in any activity designed to cause a congregant, congregants, or ministry official to relinquish membership of a mission, fellowship, congregation, or conference, nor cause any person, associative/affiliative party not to become a member or terminate one’s association/affiliation with Shekhinah Christian Life Institutional Fellowship. The associating/affiliating member agrees that during one’s tenure as a servant-leader of Shekhinah Christian Life Institutional Fellowship, and for a period of seven (7) years following separation from one’s Ministerial Covenant, the associating/affiliating member will not in any way, directly or indirectly:

1). Induce or attempt to induce a member, officer, or employee of Shekhinah Christian Life Institutional Fellowship to terminate one’s relationship with this Connectional Ministry.
2). Otherwise interfere with or disrupt Shekhinah Christian Life’s relationship with its congregants, employees, members, and/or officials.
3). Discuss employment or ministry opportunities or provide information about competitive ministry and non-profit employment opportunities to any employee, contractor, associate, or affiliate of Shekhinah Christian Life’s Institutional Fellowship and Transnational Ministry.
4). Solicit, entice, or hire away a member, employee, associate, affiliate of Shekhinah Christian Life Institutional Fellowship for the purpose of ministerial opportunity that is in competition with Shekhinah Christian Life Institutional Fellowship. This non-solicitation obligation as described in this Section is limited to ministers, leaders, or contractors who served as ministers, employees or contractors of Shekhinah Christian Life during the period that the associate
or affiliate was employed by Shekhinah Christian Life Institutional Fellowship.
5). During the tenure of the associate/affiliate’s ministerial covenant, and for a
period of seven (7) Years thereafter, the associate/affiliate will not divert or
attempt to divert from Shekhinah Christian Life any business the Shekhinah
Christian Life Institutional Fellowship or Ministry had enjoyed, solicited, or
attempted to solicit, from its constituents, clients, and customers, prior to
separation, expiration, or termination, as the case may be, of an
associate/affiliate’s covenant employment.

E. Non-Competition: Shekhinah Christian Life’s Institutional Fellowship covenants that during the employment of the associate/affiliate and for a period not prevented following separation, expiration, or termination of that term, the associate/affiliate will not give advice regarding Shekhinah Christian Life Institutional Fellowship and/or Transnational Ministry reputation to any natural person, Christian ministry, or business entity engaged in a competing ministry or business in a geographic area in which Shekhinah Christian Life conducts its business, and the associate/affiliate will not, directly or indirectly, as employee, owner, sole proprietor, partner, director, member, consultant, agent, founder, co-venturer, or otherwise, solely or jointly with others, engage in any business that is in competition with the business of Shekhinah Christian Life Institutional Fellowship within a seventy mile radius geographic area. In furtherance of this non-competition provision, leadership stipulations regarding civil action, credit arrangement, ownership of property, asset management, lend-lease, property rights, representation, and communication protocols remain applicable and enforceable during and following Associate/Affiliate tenure of service with Shekhinah Christian Life Institutional Fellowship.

F. Classified, Confidential, Proprietary Information: As a result of covenant employment with Shekhinah Christian Life’s Institutional Fellowship and Transnational Ministry, an associate/affiliate will receive from, or develop on behalf of Shekhinah Christian Life Institutional Fellowship certain classified, confidential, and/or proprietary information and that such information, as the exclusive property of Shekhinah Christian Life Institutional Fellowship, is warranted by all commissioned ministry personnel against breach. The Associate/Affiliate warrants not to exploit classified, confidential, proprietary information to gain a competitive secondary/third-party advantage during one’s tenure of service and following one’s separation from Shekhinah Christian Life Institutional Fellowship.
1). Classified Information is data or material that, having been designated as sensitive or restrictive, only a limited number of authorized persons may have or demonstrate a need to know about.
2). Confidential Information is dependable discreet information that is meant to be concealed or kept hidden from general knowledge or public view. It is a onfidentiality that is characterized by trust and a willingness to confide in another in a non-frequent manner.
3). Proprietary information is “secret” information in which Shekhinah Christian Life has a vested and protectable interest.
4). Classified, Confidential, Proprietary information include all data and information relating to the business and management of Shekinah Christian Life Ministries, including but not limited to, proprietary and trade secret technology and accounting records to which access is obtained by the Associate/Affiliate, including Work Product, Computer Software, Other Proprietary Data, Business Operations, Marketing and Development Operations, and Customer Service information.
5). Classified, Confidential, Proprietary information may also include information
disclosed by a third-party to Shekhinah Christian Life Institutional Fellowship.
6). Classified, Confidential, Proprietary information will not include information that:
a) Is generally known in the industry of Shekhinah Christian Life Institutional Fellowship,
b) Is now or subsequently becomes generally available to the public through no wrongful act of the Associate/Affiliate,
c) Was rightfully in the possession of the Associate/Affiliate prior to the disclosure to the Associate/Affiliate by Shekhinah Christian Life Institutional Fellowship,
d) Is independently created by the Associate/Affiliate without direct or indirect use of the information,
e) Associate/Affiliate rightfully obtains from a third party who has the right to transfer or disclose it,
f) Anything developed or produced by the Associate/Affiliate during enactment of the Ministerial Covenant, including but not limited to, any intellectual property, process, design, development, creation, research, invention, knowledge, trade name, trademark, or copyright that:
i. Was developed without the use of equipment, supplies, facility or Confidential Information of Shekhinah Christian Life Institutional Fellowship,
ii. Was developed entirely on the Associates/Affiliate’s own time,
iii. Does not result from any work performed by the Associate/Affiliate for Shekhinah Christian Life Institutional Fellowship; and
iv. Does not relate to any actual or reasonably anticipated business opportunity of Shekhinah Christian Life’s Institutional Fellowship or Transnational Ministry.

G. Duties and Obligations Concerning Classified, Confidential, Proprietary information: As a condition of covenant association/affiliation with Shekhinah Christian Life Institutional Fellowship, all applicants and entities, in addition to receipt to other good and valuable consideration, agree to perpetually maintain the confidentiality of one’s Ministerial Covenant of Leadership Association/Affiliation and not disclose Classified, Confidential, Proprietary information and procedural matters made accessible through discovery during one’s tenure of service with Shekhinah Christian Life.
1). The Associate/Affiliate agrees that material terms, such as contractual provisions dealing with significant issues regarding subject matter, price, payment terms, quality, quantity, duration, work to be done, etcetera, of this Ministerial Covenant is to keep all provisions confidential and protect their release from the public.
2). The Associate/Affiliate agrees not to divulge, reveal, report, or use, for any purpose, any of the Classified, Confidential, Proprietary information which the Associate/Affiliate has obtained or which was disclosed to the Associate/Affiliate by Shekhinah Christian Life because of the employment.
3). The Associate/Affiliate agrees that if there is any question as to such disclosure then the Associate/Affiliate will seek out senior management of Shekhinah Christian Life Institutional Fellowship prior to possibly making any disclosure of Shekhinah Christian Life information that may be covered by this Covenant.
4). The Associate/Affiliate acknowledges and agrees that Classified, Confidential, Proprietary information is of a consequential nature and that any disclosure of Classified, Confidential, Proprietary information to a third partly in breach of this Ministerial Covenant which cannot be reasonably or adequately compensated for in money damages, would cause irreparable injury to Shekhinah’s Institutional Fellowship, would gravely affect the effective and successful conduct of Shekhinah Christian Life’s business and goodwill, and would be a material breach of this Covenant.
5). The Obligations to ensure and protect the confidentiality of Classified, Confidential, Proprietary information imposed on the named Associate/Affiliate in this Ministerial Covenant and any obligations to provide notice under this Covenant will survive the expiration, suspension, or termination, as the case may be, of this Covenant and will continue indefinitely from the date of such expiration, suspension, or termination.
6). The Associate/Affiliate may disclose any of the Classified, Confidential, Proprietary information to a third party where Shekhinah Christian Life Institutional Fellowship has consented in writing to such disclosure; or to the extent required by law or by the request or requirement of any judicial, legislative, administrative, or other governmental body after providing reasonable prior notice to Shekhinah Christian Life Institutional Fellowship.
7). If the Associate/Affiliate loses or makes unauthorized disclosure of any of the Classified, Confidential, Proprietary information, the Associate/Affiliate will immediately notify Shekhinah Christian Life Institutional Fellowship and take all reasonable steps necessary to retrieve the lost or improperly disclosed Classified, Confidential, Proprietary information.

H. Avoiding Conflict of Opportunities: It is understood and agreed that any business opportunity relating to or similar to Shekhinah Christian Life Institutional Fellowship current or anticipated business opportunities coming to the attention of the Associate/Affiliate during one’s employment is an opportunity belonging to Shekhinah Christian Life’s Fellowship and Transnational Ministry. Accordingly, Shekhinah Christian Life will advise the Associate/Affiliate of the opportunity and the Associate/Affiliate cannot pursue the opportunity, directly or indirectly, without the written consent of Shekhinah Christian Life Institutional Fellowship. Without the written consent of Shekhinah Christian Life Institutional Fellowship, the Associate/Affiliate further agrees not to:
1). Solely or jointly with others undertake or join any planning for or organization of any business activity competitive with the current or anticipated business activities of Shekhinah Christian Life Institutional Fellowship; and
2). Directly or indirectly, engage or participate in any other business activities which the Governors Board of Regents, in its reasonable discretion, determine to be in conflict with the best interests of Shekhinah Christian Life Institutional Fellowship.

I. Ownership and Title to Classified, Confidential, Proprietary information: The Associate/Affiliate acknowledges and agrees that all rights, title, and interest in any Classified, Confidential, Proprietary information will remain the exclusive property of Shekhinah Christian Life Institutional Fellowship. Accordingly, the Associate/Affiliate specifically acknowledges and agrees that the Associate/Affiliate will have no interest in the Classified, Confidential, Proprietary information, including, without limitation, interest in know-how, copyright, trademarks, or trade names, notwithstanding the fact that the Associate/Affiliate may have created or contributed to the creation of the Classified, Confidential, Proprietary information.
1). In furtherance of ownership and title, the Associate/Affiliate agrees to waive any moral right the Associate/Affiliate may have with respect to the Classified, Confidential, Proprietary information.
2). The Associate/Affiliate agrees to immediately disclose to Shekhinah Christian Life Institutional Fellowship all Classified, Confidential, Proprietary information developed in whole or in part by the Associate/Affiliate during the employment and to assign to Shekhinah Christian Life Institutional Fellowship any right, title, or interest the Associate/Affiliate may have in the Classified, Confidential, Proprietary information.
3). The Associate/Affiliate agrees to execute any instruments and to do all other
things reasonably requested by Shekhinah Christian Life Institutional Fellowship,
both during and after the Ministerial Employment, in order to vest more fully in
Shekhinah Christian Life’s ownership rights in those items transferred by the
Associate/Affiliate to Shekhinah Christian Life Institutional Fellowship.

J. Return of Classified, Confidential, Proprietary Information: The Associate/Affiliate agrees that, upon request of Shekhinah Christian Life Institutional Fellowship or upon separation, expiration, or termination, as the case may be of the Employment, the Associate/Affiliate will turn over to Shekhinah Christian Life Institutional Fellowship all Classified, Confidential, Proprietary information belonging to Shekhinah Christian Life Institutional Fellowship, including but not limited to, all documents, plans, specifications, disks or other computer media, as well as any duplicates or backups made of that Classified, Confidential, Proprietary information in whatever form or media, in the possession or control of the Associate/Affiliate that:
1). May contain or be derived from ideas, concepts, creations, trade secrets and other Classified, Confidential, Proprietary information as defined in the Ministerial Covenant; or
2). That relates to or derived from the Associate/Affiliate services to Shekhinah Christian Life Institutional Fellowship.

K. Remedies: The Associate/Affiliate acknowledges and agrees that Shekhinah Christian Life’s information systems are of a Classified, Confidential, Proprietary nature and that any failure to maintain the confidentiality of such sensitive information in breach of the Ministerial Covenant cannot be reasonably or adequately estimated or compensated for any consequential, discretionary, moratory, prospective, proximate, pecuniary damages and that such breach would cause irreparable injury to Shekhinah Christian Life Institutional Fellowship. Accordingly, the Associate/Affiliate agrees that Shekhinah Christian Life Institutional Fellowship and its Transnational Ministry is entitled to, in addition to all other rights and remedies available to them at law or in equity, injunctive relief that restrains the Associate/Affiliate, any of its personnel, and any agents of the Associate/Affiliate in relation to the Classified, Confidential, Proprietary information.

1. Notices: In the event that the Associate/Affiliate is required in a civil, criminal, or regulatory proceeding to disclose any part of Classified, Confidential, Proprietary information, the Associate/Affiliate will give to Shekhinah Christian Life Institutional Fellowship prompt written notice of such request so that Shekhinah Christian Life may pursue an appropriate remedy or alternatively to waive the Associate/Affiliate’s compliance with the provisions of this Covenant in regard to the request.
   a). If the Associate/Affiliate loses or fails to maintain the confidentiality of any of the Classified, Confidential, Proprietary information in breach of said Covenant, the Associate/Affiliate will immediately notify Shekhinah Christian Life Institutional Fellowship and take all reasonable steps necessary to retrieve the lost or improperly disclosed Classified, Confidential, Proprietary information.
   b). Any notice or delivery required in this Covenant will be deemed completed when hand-delivered, delivered by agent, or seven (7) days after posting in a nationally recognized mail delivery system, postage prepaid, to the parties at the addresses contained in this Ministerial Covenant or as the parties may later designate in writing.
2. Shekhinah Christian Life Institutional Fellowship Services and Providers: Shekhinah Christian Life Institutional Fellowship provide ecclesia endorsement, programs, services, products, resources, and opportunities to assist an associate/affiliate in the practicum of spiritual authority, vocational responsibility, and professional accountability as one engages others Biblically, spiritually, intellectually, and professionally in a nonthreatening environment of Christian truth and experience sharing. An Associate/Affiliate gives and receives authentic discipling without condemnation through practical knowledge acquisition, scriptural interpretation/messaging skills, leadership experiences, academic research, and covenant alliances involving spiritual colleagues. Shekhinah Christian Life Institutional Fellowship does not endorse or recommend programs, products, or services of any Third-Party Provider, nor guarantees the acceptance of an associate or affiliate into a Ministerial Institute of Theological Studies online course or program of study. Associates and affiliates acknowledge, agree, and warrant the following:

 Associates/Affiliates will comply with Shekhinah Christian Life’s code of Personal and Professional Conduct.
 Shekhinah Christian Life Institutional Fellowship does not serve as an agent of an Associate/Affiliate.
 Third party Providers are not employees or agents of Shekhinah Christian Life Institutional Fellowship; nor is Shekhinah Christian Life Institutional Fellowship an agent of any Provider.
 Any information submitted on any form while using Website services will be shared in accord with Shekhinah Christian Life Institutional Fellowship’ Privacy Policy.
 Terms of associate/affiliate relationship with any Provider, including terms, conditions, warranties or representations associated with such dealings are solely between the Associate/Affiliate and the Provider.
 Contract rights between an Associate/Affiliate and any Provider are governed by the terms of such contract between the Associate/Affiliate and the Provider.
 Should an Associate/Affiliate have a dispute with any Provider, the Associate/Affiliate must address such dispute solely and directly with the Provider.
 An Associate/Affiliate will not hold Shekhinah Christian Life Institutional Fellowship liable for any loss or damage of any sort incurred as the result of any dealings with any Provider.
 Shekhinah Christian Life Institutional Fellowship does not guarantee matching an Associate/Affiliate with a Provider through use of the Official/Secondary Websites, or that Providers available through the Website are either capable of providing or willing to provide the Associate/Affiliate with products, programs, or services.

3. Online Courses, Certifications, Credits: Shekhinah Christian Life Institutional Fellowship may offer its Ministerial Institute of Theological Studies (MITS) in a traditional classroom setting and/or as “Online Course(s).” Online courses are offered in a specific area of study or on a particular topic. Classroom instructors and instructors of Online Courses are granted limited rights to reserve, add, edit, remove, cancel, delay, interrupt or reschedule any classroom or Online Course or modify its content or format, as well as the point value or weight of any assignment, quiz, exam or other evaluation of progress not institutionally standardized. Ministerial Institute of Theological Studies courses are subject to standards determined in the sole discretion of Shekhinah Christian Life Institutional Fellowship. An Associate/Affiliate may be awarded a statement acknowledging completion of a course (aka “Certificate of Completion”). A Certificate of Completion, if provided, may or may not constitute academic credit toward a degree program. Prior to enrollment in a course of study, Associate/Affiliates should consult Shekhinah Christian Life Institutional Fellowship Academic Review Board for acceptance of qualified degree level courses.
4. Description of the Official/Secondary Websites. Shekhinah Christian Life Institutional Fellowship Official/Secondary Websites provides users with an opportunity to apply for certain ministry-related information, products, services, programs, and opportunities from its Ministerial Alliance and affiliated third-party service providers. Shekhinah Christian Life Institutional Fellowship may not itself provide certain products, services, information, programs, and opportunities; therefore, the ultimate terms and conditions of any product, service, information, programs and opportunities provided by Third Party Providers will be determined by those entities. To qualify to receive products, services, information, and opportunities from Shekhinah Christian Life Institutional Fellowship or Third-Party Providers, an interested party must first fully complete the application form located within Shekhinah’s Official/Secondary Websites Application, as well as the application form set forth on any Third-Party Website Provider. The information an interested party must supply on the Official/Secondary Websites Application includes, but is not limited to:
   a. one’s full legal name.
   b. mailing address.
   c. e-mail address.
   d. home, work and mobile telephone numbers and the best time to call.
   e. date of birth.
   f. whether or not such party is a U.S. citizen.
   g. whether or not the interested party is eighteen (18) years of age or older or emancipated by marriage.
   h. whether or not the interested party or one’s spouse is a regular or reserve member of the United States military or other armed forces entity.
   i. ones time at one’s current residence.
   j. whether or not one rents or owns one’s place of residence.
   k. the party’s occupation, employer name and time spent at one’s current job.
   l. the names, telephone numbers and source of relationship of three (3) personal references and three (3) professional references, if required and
   m. any and all other information requested on the Official/Secondary Website Application and Third-Party Website Registration Data.
5. Website Assessment/Account Security. Whereas the Shekhinah Christian Life Institutional Fellowship and Transnational Ministry Official/Secondary Websites are available to all qualified persons to access the Official Doctrine and Discipline and use all features of Shekhinah’s Official/Secondary Websites. Following the review and approval of an Associate/Affiliate’s annual registration, the Associate/Affiliate shall create or update a personal “USER ACCOUNT” for oneself. A user account is an established technique located on a network server that authenticates a computer’s social information such as an email address, username, password, and other information. A User Account connects a User to another computer, network, or similar network. Associate/Affiliates are not permitted to borrow, use, or reuse any User Account that is already created for another individual or entity. In setting up an “User Account,” an Associate/Affiliate may be prompted or required to enter additional information, including but not limited to one’s personal legal name, ministerial objective, location, and form of payment (e.g., credit or debit card number). Additional information may be required to confirm Associate/Affiliate identity. The provision of registration information is a condition of Associate/Affiliate membership participation and use of Ministerial Services. Associate/Affiliates shall warrant that all information provided on the Website is correct, current, complete, and does not impersonate any third party. An Associate/Affiliate acknowledges that one’s Website account is personal and agrees to not provide any other person with access to any part of the Website using one’s username, password, or other security information. Associates/Affiliates agree never to divulge, lend, resell, attempt to transfer, or otherwise share access or access information to one’s User Account with any third party for any reason. Associate/Affiliates agree to notify Shekhinah Christian Life Institutional Fellowship immediately of any unauthorized access to or use of one’s username, password, or any other breach of security. Associates/Affiliates agree to exit from one’s personal account at the end of each session. Associates/Affiliates should use special caution when accessing a personal Website account from a public or shared computer so that others will not be able to view or record password or other personal information. Associates/Affiliates agree to create, use, and access only one User Account, and that the Website will not be accessed using multiple User Accounts. Associates/Affiliates are fully responsible for the use of personal login credentials.
6. Official/Secondary Websites Modification and Terms of Service. Shekhinah Christian Life Institutional Fellowship may at any time in its sole discretion and without prior notice,
   (a) revise the Official Doctrine and Discipline or the Official/Secondary Websites to reflect fast occurring changes in technology applications.
   (b) modify the Official Doctrine and Discipline and/or Official/Secondary Websites services.
   (c) discontinue any part of the Official/Secondary Websites and/or services. Shekhinah Christian Life Institutional Fellowship will publish changes to the Website and any other additional terms on the Official/Secondary Websites, indicating the latest date of revision.

Revised terms will become effective upon the earlier of (i) an Associate or Affiliate’s use of the Official Doctrine and Discipline and/or Official/Secondary Websites with actual knowledge of the changes, or (ii) thirty (30) days following publication of the revised terms, and further provided that disputes between Shekhinah Christian Life Institutional Fellowship and the Associate/Affiliate will be resolved in accordance of the version of the terms in effect at the time the dispute arose. Notwithstanding the foregoing, no modification to Section 17, Dispute Resolution Provisions, will be effective without the associate/affiliate consent, provided that if consent is not provided within thirty (30) days of notice of service change, Shekhinah Christian Life Institutional Fellowship reserve the right to automatically terminate a Ministerial Covenant of Leadership Association/Affiliation account, following which an associate/affiliate may not continue to use the service. Associates and affiliates shall agree to review the Official/Secondary Websites periodically to become aware of any revisions. Rejection of revised terms of service or additional terms may result in the associate/affiliate revocation of the use of the Official/Secondary Websites and ministry services.

7. Third Party Website Information: Upon entering one’s Official/Secondary Website Registration Data and clicking on the Submit button at the bottom of the page of the Official/Secondary Website Application, an applicant’s Official/Secondary Websites Registration Data will be upon request redirected to the applicable Third-Party Provider. Information an interested party provides on the applicable Third-Party Provider Application shall be determined by the applicable Third-Party Provider, Third-Party provider Application approval, and the ultimate terms and conditions of any product or service provided by one of Shekhinah Christian Life Institutional Fellowship’ Third-Party Providers, will be determined by that entity. Shekhinah Christian Life Institutional Fellowship and Transnational Ministry will verify and approve all completed Official/Secondary Websites Applications, including associated Registration Data, in accordance with its standard verification procedures. All interested parties agree to provide true, accurate, current, and complete Registration Data. Shekhinah Christian Life Institutional Fellowship/Transnational Ministry and the applicable Third-Party Provider each have the right to reject any Registration Data where it is determined, in the sole and exclusive discretion of Shekhinah Christian Life Institutional Fellowship/Transnational Ministry and the applicable Third-Party Provider, that the applicant:
   i. Is in breach of the Association/Affiliation Agreement; and
   ii. Registration Data that was provided is incomplete, fraudulent, duplicate or otherwise unacceptable. Shekhinah Christian Life Institutional Fellowship/Transnational Ministry, and the applicable Third-Party Provider each may change the Registration Data criteria at any time, in their sole discretion.
   iii. Explicitly stated otherwise, any future offer(s) made available to interested parties on Shekhinah’s Official/Secondary Websites that augment(s) or otherwise enhance(s) the current features of the Official Doctrine and Discipline and Official/Secondary Websites shall be subject to the Association/Affiliation Agreement. Interested individuals understand and agree that Shekhinah Christian Life Institutional Fellowship/Transnational Ministry is not responsible or liable in any manner whatsoever for their inability to use and qualify for connectional ecclesiastical endorsement, programs, products, services, and resources of any associated third-party functionality. Interested Parties understand and agree that Shekhinah Christian Life Institutional Fellowship/Transnational Ministry shall not be liable for any third-party modification, suspension or discontinuation of any Ministry Products and Services or other product, service or promotion offered by any Third-Party Provider to Shekhinah Christian Life Institutional Fellowship. If Shekhinah Christian Life Institutional Fellowship/Transnational Ministry terminates an applicant’s Association Agreement, Shekhinah Christian Life Institutional Fellowship shall have no liability or responsibility to that individual. Individuals, interested parties, and applicants understand and agree that refusal to use the Official Doctrine and Discipline and Official/Secondary Websites is an individual’s sole right and remedy concerning any dispute with Shekhinah Christian Life Institutional Fellowship/Transnational Ministry.
8. Third Party Website Disclaimer: The Official Doctrine and Discipline and Official/Secondary Websites may provide and refer interested parties to links or other Internet Websites and resources including, but not limited to, Websites operated by Third Party Providers. Because Shekhinah Christian Life Institutional Fellowship/Transnational Ministry has no control over such third-party Websites and resources, all parties including an individual, group of individuals, or entity(ies) do hereby acknowledge and agree that Shekhinah Christian Life Institutional Fellowship and Transnational Ministry is not responsible for the availability of such third-party resources. Furthermore, Shekhinah Christian Life Institutional Fellowship/Transnational Ministry does not endorse, and is not responsible or liable for, any terms and conditions, privacy policies, content, advertising, services, products, and other materials at or available from such third-party Websites or resources, or for any damages and losses arising therefrom.
9. Grant of Privilege. As a user of the Official Doctrine and Discipline and Official/Secondary Websites, associates and affiliates are granted a non-exclusive, non-transferable, revocable, and limited privilege to access and use the Official Doctrine and Discipline and Shekhinah’s Official/Secondary Websites and associated content in accordance with the Ministerial Covenant of Leadership Association/Affiliation. Shekhinah Christian Life Institutional Fellowship may terminate this privilege at any time for any reason. Associates may use Official Doctrine and Discipline and Official/Secondary Websites on one computer for their own personal, non-commercial use. No part of the Official Doctrine and Discipline and Official/Secondary Websites may be reproduced in any form, disseminated, remixed, modified, built upon, or incorporated into any information retrieval system, electronic, digital, or mechanical.

Users of the Official Doctrine and Discipline and Official/Secondary Websites may not use, build upon, copy, emulate, clone, rent, lease, sell, modify, decompile, disassemble, disseminate, remix, modify, reverse engineer, or transfer the Official Doctrine and Discipline or Official/Secondary Websites content or any portion thereof. Shekhinah Christian Life Institutional Fellowship/Transnational Ministry reserves all rights not explicitly granted in the Ministerial Covenant of Leadership Association/Affiliation. Interested Parties and an Associate may not use any device, software, or routine to interfere or attempt to interfere with the proper working of the Official/Secondary Websites and/or the Official Doctrine and Discipline. Interested Parties may not take any action that imposes an unreasonable or disproportionate request on Shekhinah Christian Life Institutional Fellowship infrastructure. An Associate’s privilege to use the Official Doctrine and Discipline and Official/Secondary Websites is not transferable.

10. User Content Submission: Shekhinah Christian Life Institutional Fellowship/Transnational Ministry may provide Associates/Affiliates with the ability to post certain content, information, text, chat, referral, materials or interactions and communications with ministerial instructors, mentors, and coaches through “User Content.” User Content is the location on a network server that stores a computer username, password, and other information that permits or does not permit a user to connect to a network or another computer. Regarding user content made available in connection with Website services, Associates and Affiliates are hereby granted a fully transferable, sub-licensable, worldwide, perpetual, royalty-free and exclusive license to use, distribute, reproduce, modify, adapt, publicly perform, and publicly display their own User Content. Associates and Affiliates agree to abide by laws regarding copyright and other intellectual property and shall be solely responsible for any violations of any relevant laws and for any claims of infringement of third-party rights caused by any User Content provided or transmitted, or that is provided or transmitted, using Associate/Affiliate User Account. To the extent that an Associate or Affiliate provides User Content, such participants represent, acknowledge, agree, and warrant that:
    (a) Associates/Affiliates own or have all necessary rights, licenses, authorizations and/or clearances to provide and use User Content and permit Shekhinah Christian Life Institutional Fellowship/Transnational Ministry to use such User Content as provided above.
    (b) Associate/Affiliate content is accurate, current, and reasonably complete.
    (c) Associates/Affiliates will maintain and update the User Content to keep it accurate, current, and reasonably complete.
    (d) Associates/Affiliates have fully complied with any third-party licenses relating to User Content.
    (e) As between Associates/Affiliates and Shekhinah Christian Life Institutional Fellowship, Associates/Affiliates shall be solely responsible for any payment of any third-party fees related to the provision and use of such User Content.
    (f) Such User Content does not and will not infringe, misappropriate, or violate Shekhinah Christian Life Institutional Fellowship/Transnational Ministry or any third-party rights (including without limitation privacy, publicity, intellectual property, and any other proprietary rights, such as copyright, trademark and patent rights) or constitute a fraudulent statement, misrepresentation or unfair business practice.
    (g) Associates/Affiliates will not post or submit User Content that (i) is defamatory, damaging, disruptive, unlawful, inappropriate, offensive, inaccurate, pornographic, vulgar, indecent, profane, hateful, racially or ethnically offensive, obscene, lewd, lascivious, filthy, threatening, excessively violent, harassing, or otherwise objectionable: (ii) incites, encourages or threatens immediate physical harm against another, including but not limited to, User Content that promotes racism, bigotry, sexism, religious intolerance or harm against any group or individual; or (iii) contains materials that solicit personal information from anyone under 18 or exploit anyone in a sexual or violent manner;
    (h) Associates/Affiliates will not post User Content that contain advertisements or solicits any person to buy or sell products or services (other than Shekhinah Christian Life’s ministry services).
    (i) Associates/Affiliates will not post or submit User Content that constitutes, contains, installs or attempts to install or promote spyware, malware or other computer code, whether on Shekhinah servers or others’ computers or equipment, designed to enable associates or others to gather information about or monitor on-line activities of other computers or equipment, designed to enable associates/affiliates to gather information about or monitor the on-line or other activities of another party;
    (j) Associates/Affiliates will not transmit chain letter, bulk or junk email or interfere with, disrupt, or create an undue burden on Shekhinah’s Websites or the networks or Services connected to such Websites, including without limitation, hacking into Shekhinah’s Websites, or using the system to send unsolicited or commercial emails, bulletins, comments or other communications; and
    (k) Associates/Affiliates will not impersonate any other person or entity, use the Website Services to cheat, provide false or misleading identification or address information, or invade the privacy, or violate the personal or proprietary right, of any person or entity.
    (l) Shekhinah Christian Life Institutional Fellowship/Transnational Ministry may also provide Associates/Affiliates with the ability to upload, chat, text, or send information to Shekhinah regarding a Website or related Services (“feedback”). By submitting the feedback through any means (whether through the Website or through any direct communication), Associates/Affiliates acknowledge that feedback is submitted on a non-confidential basis (notwithstanding any indication to the contrary in any accompanying communication), and Associates/Affiliates hereby grant Shekhinah Christian Life Institutional Fellowship/Transnational Ministry a sub-licensable, transferable, worldwide, fully paid-up, royalty-free, perpetual, irrevocable license to use, disclose, reproduce, distribute, sublicense, prepare derivative works of, publicly perform, publicly display, and transmit any such submission and to make, have made, sell and have sold products based upon the Feedback, and otherwise exploit the Feedback in any manner, without payment or attribution.
11. Proprietary Rights: The content, organization, graphics, design, compilation, magnetic translation, digital conversion, software, services and other matters related to the Official Doctrine and Discipline and Official/Secondary Websites are protected under applicable copyrights, trademarks and other proprietary (including, but not limited to, intellectual property) rights under United States and foreign laws. Copying, remixing, modification, redistribution, dissemination, publication, building upon, or sale by an individual or group of persons pertaining to any part of the Official Doctrine and Discipline and Official/Secondary Websites is strictly prohibited. Systematic retrieval of material from the Official Doctrine and Discipline and Official/Secondary Websites by automated means or any other form of scraping or data extraction to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from Shekhinah Christian Life Institutional Fellowship is prohibited. Shekhinah Christian Life Institutional Fellowship/Transnational Ministry does not grant ownership of any content, document, software, services, or other materials viewed at or through the Official Doctrine and Discipline and Official/Secondary Websites. The posting of information or material within the Official Doctrine and Discipline and Official/Secondary Websites by Shekhinah Christian Life Institutional Fellowship/Transnational Ministries does not constitute a waiver of any right of such information or materials. When accessing the Official Doctrine and Discipline or using the Official/Secondary Websites, every Associate/Affiliate must comply with all applicable laws, rules, and regulations, as well as the Ministerial Covenant of Leadership Association/Affiliation, and to respect the intellectual property rights of others, including public performance limitation or other restrictions on use of ministry services or content. Subject to the Ministerial Covenant of Leadership Association/Affiliation, an associate has the right to access the Official Doctrine and Discipline and Official/Secondary Websites for personal, non-commercial purposes only, and solely during the term of the Ministerial Covenant of Leadership Association/Affiliation.
12. Restrictions. Shekhinah Christian Life Institutional Fellowship reserve the right in its sole discretion to edit or delete any documents, information or other content appearing on the Official/Secondary Websites or within its Official Doctrine and Discipline.
    • Should an associate/affiliate download, copy, or print a copy of the Official Doctrine and Discipline or content of the Official/Secondary Websites for personal usage, all trademark, copyright, and other proprietary notices must be acknowledged, retained, and included on the materials.
    • An associate/affiliate may not create, recreate, distribute, or advertise an index of any content of the Official Doctrine and Discipline or Official/Secondary Websites unless authorized by Shekhinah Christian Life Institutional Fellowship.
    • An associate/affiliate shall not either directly or through the use of any device, software, Internet site, web-based service or other means, copy, download, reproduce, duplicate, archive, distribute, upload, publish, modify, translate, broadcast, perform, display, sell, transfer, rent, sub-license, frame, transmit or retransmit the Official Doctrine and Discipline or Official/Secondary Websites except as permitted by this Ministerial Covenant of Leadership Association/Affiliation.
    • Associates and affiliates shall not access or use the Official Doctrine and Discipline or Official/Secondary Websites in any commercial or competitive capacity, or for the purpose of building any collection or database of content or services, or in connection with providing any service to any other person, individual, service bureau, or otherwise, and whether or not paid or unpaid, for profit or not for profit. Content covered by these restrictions includes without limitation any text, graphics, layout, interfaces, logos, photographs, audio, video, and digital material and stills.
    • Associates and affiliates are strictly prohibited from creating derivative works or materials that otherwise are derived from or based on content within the Official Doctrine and Discipline or Official/Secondary Websites, unless it is expressly permitted by Shekhinah Christian Life Institutional Fellowship in writing. This prohibition applies even if an associate or affiliate intends to give away the derivative materials free of charge.
    • Associates and affiliates shall not use any robot, spider, crawler, scraper, or other automated means or interface to access the Official Doctrine and Discipline, Official/Secondary Websites, or extract any content or other information.
    • Associates and affiliates may not decompile, reverse engineer, or disassemble any software or other products or processes accessible through the Official Doctrine and Discipline or Official/Secondary Websites, including without limitation Mobile Applications.
    • Associates, affiliates, individuals, a group, groups of individuals, or entity shall not attempt to damage, destroy, tamper with, vandalize, or otherwise interfere with the operation of Shekhinah Christian Life Institutional Fellowship Official Doctrine and Discipline and Official/Secondary Websites. All such actions are a violation of criminal and civil law. Shekhinah Christian Life Institutional Fellowship will diligently pursue all remedies in this regard against any offending associate, affiliate, individual, group, or entity to the fullest extent permissible by law and in equity.
    • Legal Caution. Any attempt by an individual, associate, group of individuals, affiliate, or entity to damage, destroy, tamper with, vandalize and otherwise interfere with the operation of Shekhinah Christian Life Institutional Fellowship’ Official Doctrine and Discipline and Official/Secondary Websites, is a violation of criminal, civil, and canon law. Shekhinah Christian Life Institutional Fellowship will diligently pursue all remedies in this regard against any offending individual or entity to the fullest extent permissible by law and in equity.
13. Indemnification. An associate, affiliate, individual, group of individuals or entity(ies) shall indemnify and hold Shekhinah Christian Life Institutional Fellowship and Transnational Ministries, its parents, institutions, subsidiaries, agencies, associates, and affiliates, and each of their respective members, officers, directors, employees, agents, agencies, co-branders or other partners, harmless from and against any and all claims, expenses (including reasonable attorney’s fees), damages, suits, costs, demands or judgments whatsoever, made by any third party due to or arising out of: (a) one’s usage of the Official Doctrine and Discipline of Shekhinah Christian Life Ministries, Transnational; (b) ones breach of the Ministerial Covenant of Leadership Association/Affiliation; (c) any dispute between an individual, group of individuals, or entity and a Third Party Provider; or (d) one’s violation of any rights of another individual or entity. The provisions of this paragraph are for the benefit of Shekhinah Christian Life Institutional Fellowship and Transnational Ministries, its parents, subsidiaries, institutions, agencies, associates, and affiliates, and each of their respective officers, officiants, directors, members, employees, agents, shareholders, licensors, suppliers, and attorneys. Each of said individuals and entities shall have the right to assert and enforce these provisions directly against the offending party on its own behalf.
14. Disclaimer of Warranties. The Official Doctrine and Discipline, Official/Secondary Websites, and any products, programs, service, and information that an individual, group of individuals or entity may receive from one of Shekhinah’s third-party providers or any other products or services that a party may inquire about or apply for through Shekhinah’s Official/Secondary Websites is provided to that party on an (as is) and (as available) basis and all warranties, express and implied, are disclaimed to the fullest extent permissible pursuant to applicable law (including, but not limited to, the disclaimer of any warranties of merchantability, non-infringement of intellectual property and fitness for a particular purpose). In particular, but not as a limitation thereof, Shekhinah Christian Life Institutional Fellowship/Transnational Ministries makes no warranty that:
    (a) the Official Doctrine and Discipline of Shekhinah Christian Life Ministries, Transnational and Official/Secondary Websites, association agreement, any products and information that a party may receive from one of its associates, institutions, subsidiaries, churches, ministries, corporations, and agencies or third-party providers and any other products, programs, and services that a party may inquire about or apply for through the Official/Secondary Websites will meet personal requirements.
    (b) the Official Doctrine and Discipline and Official/Secondary Websites, any products and information and any other products and services that a party may inquire about or apply for through the Official/Secondary Websites will be uninterrupted, timely, secure or error-free.
    (c) an interested or applicant party will qualify for products, services, and information from any of our third-party providers; or
    (d) the results that may be obtained from the use of the Official Doctrine and Discipline
    of Shekhinah Christian Life Ministries, Transnational will be accurate or reliable. The Official Doctrine and Discipline of Shekhinah Christian Life Ministries, Transnational may contain errors, problems, or other limitations. Shekhinah Christian Life Institutional Fellowship will not be liable for the availability of the underlying internet connection associated with the Official Doctrine and Discipline and Official/Secondary Websites. No advice or information, whether oral, written, electronic, digital, or printed, obtained by an interested party from Shekhinah Christian Life Institutional Fellowship/Transnational Ministries, any of its third-party providers or otherwise through or from the Official Doctrine and Discipline and Official/Secondary Websites, shall create any warranty not expressly stated in the Ministerial Covenant of Leadership Association/Affiliation.
15. Limitation of Liability. Parties expressly understand and agree that Shekhinah Christian Life Institutional Fellowship/Transnational Ministries shall not be liable to an individual, group of individuals, or entity or any third party for any direct, indirect, incidental, special, consequential and exemplary damages including, but not limited to damages for loss of profits, goodwill, use, data or other intangible losses (even if Shekhinah Christian Life Institutional Fellowship has been advised of the possibility of such damages), to the fullest extent permissible by law for:
    a. the use or the inability to use the Official Doctrine and Discipline and Official/Secondary Websites, any products, service, and information that an interested party may receive from one of our third-party providers and any other products and services that an interested party may inquire about or apply for through use of the Official Doctrine and Discipline and Official/Secondary Websites.
    b. the cost of procurement of substitute goods and services resulting from any goods, data, information and services purchased or obtained from, or transactions entered into through, the Official Doctrine and Discipline and Official/Secondary Websites.
    c. the failure to qualify for products and information from any of our third-party providers, or any subsequent denial of products, service, and information from same; and
    d. any other matter relating to the Official Doctrine and Discipline and Official/Secondary Websites, any products, service, and information and any other products and services that an interested party may inquire about or apply for through the Official Doctrine and Discipline and Official/Secondary Websites.

This limitation applies to all causes of action, in the aggregate including, but not limited to, breach of contract, breach of warranty, negligence, strict liability, misrepresentation and all other torts. An individual, group of individuals, or entity hereby release Shekhinah Christian Life Institutional Fellowship/Transnational Ministries and all Shekhinah Christian Life’s third-party providers from any and all obligations, liabilities and claims in excess of the limitation stated herein. If applicable law does not permit such limitation, the maximum liability of Shekhinah Christian Life Institutional Fellowship/Transnational Ministries to a party under all circumstances will be one hundred forty-four dollars ($144.00). All parties, including individuals, group(s) of individuals, or entity (ies) hereby release Shekhinah Christian Life Institutional Fellowship/Transnational Ministries from all obligations, liabilities and claims more than the limitations set forth in this section. The negation of damages set forth above is a fundamental element of the basis of the association agreement between a party and Shekhinah Christian Life Institutional Fellowship/Transnational Ministries. The Official Doctrine and Discipline and Official/Secondary Websites, any products, services, and information that a party may receive from one of our third-party providers and any other products and services that an individual, group of individuals, or entity (ies) may inquire about or apply for because of the Official Doctrine and Discipline and Official/Secondary Websites is not provided to the parties without such limitations.

16. Privacy Policy. Use of Shekhinah Christian Life Institutional Fellowship Official Doctrine and Discipline, Primary and Secondary Websites, and all information, data, or other materials that are submitted through or in association with the Official/Secondary Websites, including Third-Party Websites, is subject to Shekhinah Christian Life’s Privacy Policy. This Privacy Policy describes how Shekhinah Christian Life Institutional Fellowship/Transnational Ministries collect, use, share, and protect Associate/Affiliate information in compliance with applicable legal requirements. When an Associate/Affiliate interacts with or use Shekhinah Christian Life Institutional Fellowship’ services and products through its Official/Secondary Websites, the Associate/Affiliate consent to personal information sharing as described in this Privacy Policy, and Shekhinah Christian Life Institutional Fellowship terms of usage of its Official/Secondary Websites, and terms and conditions that accompany Shekhinah Christian Life’s services, programs, and products.

A. Consent: An Associate/Affiliate acknowledges and consents to the collection, use, and transfer of personal information as outlined in this Privacy Policy when one interacts with or use Shekhinah Christian Life Institutional Fellowship services or products through its Official/Secondary and/or Third-Party websites. Should an Associate/Affiliate not consent to the terms of this Privacy Policy, that Associate/Affiliate should not continue to utilize Shekhinah Christian Life Institutional Fellowship services and products.

B. Data Collection: Shekhinah Christian Life Institutional Fellowship is dedicated to protecting Associate and /or Affiliate privacy and personal confidential information collected through its Primary/Secondary and Third-Party websites. Shekhinah Christian Life Institutional Fellowship may collect Associate/Affiliate information directly or through Third-Party vendors, or from a third-party who is authorized by the Associate/Affiliate, or through applicable law to share information with Shekhinah Institutional Fellowship.
1). Website visit: When an Associate/Affiliate provide information during a login process, and access certain portions of Shekhinah Christian Life Institutional Fellowship websites and when an Associate/Affiliate request additional information, purchase online products, or submit an application. Such actions typically require that an Associate/Affiliate provide contact information (such as one’s name, address, phone number(s), email address (es), etcetera.

2). Registration: When an Associate/Affiliate creates an account with Shekhinah Christian Life Institutional Fellowship, make a purchase, register, or login to access or use ministry functions or features. These actions typically require that an Associate/Affiliate provide Shekhinah Christian Life Institutional Fellowship with personal contact information and where required by registration, an Associate/Affiliate’s Social Security Number or Employer Identification Number.

3). Communications: When an Associate/Affiliate communicate with Shekhinah Christian Life Institutional Fellowship.

Learning Activities: When an Associate/Affiliate utilize Shekhinah Christian Life Institutional Fellowship M.I.T.S. services, information about one’s grades and scores, one’s personal learning behaviors, and various metrics related to an Associate/Affiliate’s learning of a particular subject matter is recorded.

5). Surveys and Research: When an Associate/Affiliate participate in Shekhinah Christian Life Ministries Ministerial Institutes of Theological Studies (M.I.T.S.) research.

6). Forums: When an Associate/Affiliate participates in Shekhinah International Ministerial Alliance’ (S.I.M.A.) forums, blogs, intranets, chatrooms, or other similar features.

7). Subscriptions; When an Associate/Affiliate subscribe to one or more of Shekhinah Christian Life Institutional Fellowship newsletters, publications, or text alerts.

8). Social Media: When an Associate/Affiliate use or interact with Shekhinah Christian Life Institutional Fellowship on social media and networking pages and applications.

9). Information Sources: Shekhinah Christian Life Institutional Fellowship may also collect information about an Associate/Affiliate from other sources. Shekhinah Christian Life Institutional Fellowship work closely with Third-Party business partners, service providers, subcontractors, educational institutions, analytics providers, search information providers, and fraud protection services; and may receive information about Associates and Affiliates from them. Shekhinah Christian Life Institutional Fellowship may also collect and process information about an Associate/Affiliate from an organization of which an Associate/Affiliate is or previously was affiliated.

To the extent permitted by applicable law, Shekhinah Christian Life Institutional Fellowship may collect data in an automated manner and make automated decisions, including using machine learning algorithms, about users of Shekhinah Christian Life Institutional Fellowship programs and services to provide or optimize programs and services offered. Automated information sources may include, but is not limited to, usage details, Internet Protocol (‘IP”) address, browser type, browser language, devices an Associate/Affiliate use, access times, the sites linked from, pages visited, applications downloaded or accessed, links and features used, content viewed or requested, information collected through cookies and other such information.

10). Records: Shekhinah Christian Life Institutional Fellowship’ programs and services are not directly covered by the United States Federal Educational Right and Privacy Act (“FERPA”) or the United States Health Insurance Portability and Accountability Act (“HIPAA”). However, to the extent Shekhinah Christian Life Institutional Fellowship is required to do so by contract with an organization that provides Associate/Affiliate information to Shekhinah Christian Life Institutional Fellowship or with whom Shekhinah Christian Life share Associate/Affiliate information, and to the extent that such personal information provided to Shekhinah Christian Life Institutional Fellowship is subject to FERPA or an equivalent law or regulation, or subject to HIPAA or an equivalent law or regulation; Shekhinah Christian Life Institutional Fellowship will comply with such applicable law as required by such contract.

11). Information Sharing: To the extent permitted by applicable law, Shekhinah Christian Life Institutional Fellowship may share information about an Associate/Affiliate, including one’s personal information, as set forth hereinafter or as otherwise described in this Privacy Policy or the terms and conditions for use of Shekhinah Christian Life Institutional Fellowship programs and services.
a) Disclosure: Shekhinah Christian Life Institutional Fellowship may also share information if, in its sole discretion, disclosure is necessary or appropriate to protect the rights, property, or safety of an Associate/Affiliate or another person, or if fraud, illegal activity, abuse or testing misconduct has transpired
b) Sharing: Shekhinah Christian Life Institutional Fellowship may share information to fulfill any other purpose for which an Associate/Affiliate has provided information; for any other purpose disclosed by Shekhinah Christian Life Institutional Fellowship or the third-party with whom an Associate/Affiliate interacts; to enforce Shekhinah Christian Life Institutional Fellowship rights arising from any contracts; for billing and collection; or as otherwise permitted under applicable law.
c) Safeguards: Security of Associate/Affiliate personal information is of the utmost importance. Shekhinah Christian Life Institutional Fellowship use administrative, technical, and physical safeguards to protect the security of Associate/Affiliate personal information against unauthorized access, loss, use, disclosure, or alteration by third parties and unauthorized employees. Despite Shekhinah Christian Life Institutional Fellowship efforts, it cannot guarantee the security of Associate/Affiliate information during its transmission or its storage in Shekhinah Christian Life Institutional Fellowship systems. No method of transmitting or storing electronic information is ever completely secure. Therefore, Shekhinah Christian Life Institutional Fellowship make no warranty, express, implied, or otherwise, that Associate/Affiliate classified, confidential, proprietary information will never be accessed, used, or released in a manner that is inconsistent with this Privacy Policy. Shekhinah Christian Life Institutional Fellowship is not responsible for any damages or liabilities relating to any security incidents, and Shekhinah Christian Life Institutional Fellowship disclaim all representations and warranties regarding such matters to the fullest extent permitted by law. Where required under law, Shekhinah Christian Life Institutional Fellowship will notify an Associate/Affiliate of any loss, misuse or alteration of personal information that may affect the Associate/Affiliate so that an Associate/Affiliate can take appropriate action to safeguard one’s rights. Should information be transmitted to Shekhinah Christian Life Institutional Fellowship using a means that is foreign or alien to its systems, or if an Associate/Affiliate transmit information to a third party, Shekhinah Christian Life Institutional Fellowship cannot guarantee the security of information during transmission. Any such unsecured transmission is at the Associate/Affiliate’s own risk. It is recommended that every Associate/Affiliate use appropriate security measures to protect personal information.
d) Links: Shekhinah Christian Life Institutional Fellowship Official/Secondary websites may contain links or other connections to other Third-Party websites, platforms, products, services, or applications that are independent of programs and services proprietary to Shekhinah Christian Life Institutional Fellowship. Information collection practices and privacy policies of these Third-Party may differ from Shekhinah Christian Life Institutional Fellowship. Linkage to Third-Party websites, platforms, products, services, or applications are provide only as a convenience, and the inclusion of any link does not imply affiliation, endorsement, or adoption by Shekhinah Christian Life Institutional Fellowship of any website, or any information contained therein. Upon departure from a Shekhinah Christian Life Institutional Fellowship website, these terms will no longer govern an Associate/Affiliate’s internet browser session. An Associate/Affiliate’s use of any site to which one navigates from Shekhinah Christian Life Institutional Fellowship will be subject to that site’s terms of use, if any, and its privacy and data gathering policies. It is the Associate/Affiliate’s sole responsibility to review the applicable terms and policies, including privacy and data gathering practices, of any site to which an Associate/Affiliate navigates. e) Data Retention: To the extent permitted by applicable law, Shekhinah Christian Life Institutional Fellowship/Transnational Ministries may retain Associate/Affiliate information for as long as one’s Ministerial Covenant is active, and for at least twenty-four (24) months thereafter, or as long as is reasonably necessary to provide an Associate/Affiliate with Connectional programs and services, or as needed for other lawful purposes. Shekhinah Christian Life Institutional Fellowship may retain cached or archived copies of an Associate/Affiliate information. Shekhinah Christian Life Institutional Fellowship may be required to retain some Associate/Affiliate data for a longer period of time because of various laws and regulations, or because of contractual obligations. Shekhinah Christian Life Institutional Fellowship will also retain Associate/Affiliate information as long as reasonably necessary to comply with legal obligations, dispute resolution, and enforcement of the Ministerial Covenant of Leadership Association/Affiliation.

17. Dispute Resolution Provisions.
    A. Any controversy or claim arising out of, or relating to the Ministerial Covenant of Leadership
    B. Association/Affiliation, no matter how described, pleaded or styled, shall be resolved through the Shekhinah Christian Life Institutional Fellowship’ Grievance Procedure in accordance with paragraphs ¶ 701-A Due Process, ¶ 702.E Adjudicative Administration, ¶ 702.E-1 Arbitration Governance, ¶ 702.E-2 Binding Arbitration and Waiver of Jury Trial, ¶ 702.E-3 Terms of Arbitration, ¶ 702.E-4 Procedure for Filing an Arbitration, and ¶ 702.E-5 Acknowledgment of Waiver of Ministry Tribunal/Jury Trial and Availability of A.A.A. Rules: the Grievance Procedure as coded within paragraph(s) of the Shekhinah Christian Life Judicial Council.
    C. The Ministerial Covenant of Leadership Association/Affiliation shall be treated as though it were executed and performed in Raleigh, North Carolina and shall be governed by and construed in accordance with the laws of the State of North Carolina (without regard to conflict of law principles).
    D. The Arbitrator, and not any federal, state, or local court or agency, shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of the Ministerial Covenant of Leadership Association/Affiliation, including, but not limited to any claims that all or any part of the Ministerial Covenant of Leadership Association/Affiliation is void or voidable. For purposes of this paragraph and document, the terms “Shekhinah Christian Life Institutional Fellowship,” “Shekhinah’s” or “Shekhinah Christian,” or “Shekhinah Christian Life,” “Shekhinah Christian Life Institutional Fellowship, Inc., “Covenant Sanctuary,”” “Shekhinah Transnational,” “Shekhinah Christian Life International,” or “Shekhinah International” includes Shekhinah Christian Life Ministries, Transnational and Institutional Fellowship, it officers, directories, members, employees, and its affiliates, agencies, corporations, churches, missions, ministries, subsidiaries and parents, and all officers, directors, members, and employees of such entities.
    E. The Arbitrator shall apply federal law to the fullest extent possible and the substantive and procedural. provisions of the Federal Arbitration Act (9 U.S.C. ¶¶ 1-16) and any and all issues relating to the enforcement of the Agreement to Arbitrate (A.A.A.) and the arbitrability of claims between the parties.
    F. The Arbitrator must have knowledge of and actual experience in the administration and operation of nonprofit Ecclesia institutions unless the parties involved in the arbitration agree otherwise.
    G. The Arbitrator shall have the authority to award monetary damages subject to Limitation of Liability measures within the scope of the Official Doctrine and Discipline of Shekhinah Christian Life Ministries, Transnational to arbitrate. Judgment on the award rendered by the arbitrator shall be entered in any court having competent jurisdiction. The Arbitrator shall not have authority to award punitive damages, treble damages, consequential or indirect damages, or other damages not measured by the prevailing party’s monetary damages unless such relief is expressly provided for by applicable law. Neither shall the Arbitrator have authority to alter any policy, provision, or procedure of Shekhinah Christian Life Institutional Fellowship.
    H. All parties involved in arbitration shall bear their own costs and expenses of arbitration, including their own counsel, experts, witnesses, and presentation of proof. Except as may be required by law, neither party nor an arbitrator shall disclose the existence, content, or results of any such arbitration without the prior written consent of both parties. All fees and expenses of the arbitrator and administrative fees and expenses of the arbitration shall be paid by the parties as provided by the Commercial Arbitration Rules of the A.A.A. governing the proceeding, including the Supplementary Procedures for Consumer-Related Disputes, to the extent applicable, or by specific ruling by the arbitrator, or by agreement of the parties.
    I. Arbitrator’s Award: At the request of either party, the arbitrator shall render a written award briefly setting forth the essential findings and conclusions. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
    J. Arbitrator Severability and right to waive: If any part or parts of the Ministerial Covenant of Leadership Association/Affiliation are found to be invalid or unenforceable by a decision of a tribunal of competent jurisdiction, then such specific par or parts shall be of no force and effect and shall be severed, but the remainder of the Ministerial Covenant of Leadership Association/Affiliation shall continue in full force and effect.
    K. Nothing herein shall be construed to preclude any party from seeking injunctive relief to protect its rights pending an outcome in arbitration. To the extent permitted by law, an associate/affiliate shall not bring, join or participate in any class action lawsuit as to any claim, dispute or controversy that an associate/affiliate may have against Shekhinah Christian Life Institutional Fellowship/Transnational Ministries and its employees, officers, directors, members, representatives and assigns. An associate/affiliate agrees to the entry of injunctive relief to stop such a lawsuit or to remove oneself as a participant in the suit. An associate/affiliate agree to pay the attorney’s fees and court costs that Shekhinah Christian Life Institutional Fellowship/Transnational Ministries incurs in seeking such relief. This provision preventing associates/affiliates from bringing, joining, or participating in class action lawsuits: (a) does not constitute a waiver of any associate/affiliate rights and remedies to pursue a claim individually and not as a class action in binding arbitration as provided above; and (b) is an independent Ministerial Covenant of Leadership Association/Affiliation provision.
18. Common Protocol:
    A. Time is of the essence of the Ministerial Covenant of Leadership Association/Affiliation.
    B. The Ministerial Covenant may be executed in counterpart.
    C. Headings are inserted for the convenience of the parties only and are not to be considered when interpreting the Ministerial Covenant.
    D. The clauses, paragraphs, and subparagraphs contained in the Ministerial Covenant are intended to be read and construed independently of each other. If any part of the Ministerial Covenant of Leadership Association/Affiliation is held to be invalid by a court of competent jurisdiction, such invalidity will not affect the operation of any other part of the Ministerial Covenant.
    E. The Associate/Affiliate is liable for all costs, expenses and expenditures including, and without limitation, the complete legal cost incurred by Shekhinah Christian Life Institutional Fellowship in enforcing the Ministerial Covenant because of any default of the Ministerial Covenant by the Associate/Affiliate.
    F. Shekhinah Christian Life Institutional Fellowship and the Associate/Affiliate acknowledge that the Ministerial Covenant is reasonable, valid, and enforceable. However, if a court of competent jurisdiction finds any of the provisions of the Ministerial Covenant of Leadership Association/Affiliation to be too broad to be enforceable, it is the intention of Shekhinah Christian Life Institutional Fellowship and the Associate/Affiliate that such provision be reduced in scope by the court only to the extent deemed necessary by that court to render the provision reasonable and enforceable, bearing in mind that it is the intention of Shekhinah Christian Life Institutional Fellowship to give the Associate/Affiliate the broadest necessary protection to maintain the confidentiality of one’s confidential, classified, proprietary information.
    G. No failure or delay by Shekhinah Christian Life Institutional Fellowship in exercising any power, right, or privilege provided in the Ministerial Covenant will operate as a waiver, nor will any single or partial exercise of such rights, powers, or privileges preclude any further exercise of them or the exercise of any other right, power, or privilege provided in the Ministerial Covenant.
    H. The Ministerial Covenant of Leadership Association/Affiliation will inure to the benefit of and be binding upon the respective heirs, executors, administrators, successors, and assigns of Associates/Affiliates, as the case may be, of Shekhinah Christian Life Institutional Fellowship.
    I. The Ministerial Covenant of Leadership Association/Affiliation constitutes the entire agreement between the parties and there are no further items, or provisions, either oral or otherwise.
19. Contestability. Should any part of the Ministerial Covenant of Leadership Association/Affiliation within a given jurisdiction be held invalid or too broad to be enforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. The Ministerial Covenant of Leadership Association/Affiliation is a proprietary/confidential agreement between an individual, group of individuals, or entity(ies) and Shekhinah Christian Life Institutional Fellowship/Transnational Ministries that governs a party’s use of the Official Doctrine and Discipline and Official/Secondary Websites, and all other documents, publications, communications, programs, and offerings of Shekhinah Christian Life Institutional Fellowship superseding any and all prior and contemporaneous Ministerial Covenant of Leadership Association/Affiliation between a party and Shekhinah Christian Life Institutional Fellowship. To the extent that anything in or associated with the Official Doctrine and Discipline and Official/Secondary Websites and any Shekhinah Christian Life Institutional Fellowship offering that is in conflict or inconsistent with the Ministerial Covenant of Leadership Association/Affiliation, the Ministerial Covenant of Leadership Association/Affiliation pursuant to the Official Doctrine and Discipline of Shekhinah Christian Life Ministries, Transnational shall take precedence. Shekhinah Christian Life Institutional Fellowship failure to enforce any provision of the Ministerial Covenant of Leadership Association/Affiliation shall not be deemed a waiver of such provision nor of the right to enforce such provision. The parties to this Covenant do not intend that any agency or partner relationship be created through operation of the Ministerial Covenant of Leadership Association/Affiliation unless stipulated or referenced within these articles.
20. Acceptance of Ministerial Covenant of Leadership Association/Affiliation. All Associates and Affiliates must agree to subscribe and propagate the doctoral, governmental, administrative, and congregational leadership terms, conditions, and practicum referenced in this Ministerial Covenant of Leadership Association/Affiliation pursuant to the Shekhinah Christian Life Institutional Fellowship Official Doctrine and Discipline and Official/Secondary Websites. The Ministerial Covenant of Leadership Association/Affiliation constitutes the agreement in its entirety between the Associate/Affiliate and Shekhinah Christian Life Institutional Fellowship/Transnational Ministries regarding one’s usage of the Official Doctrine and Discipline, Official/Secondary Websites, and participation in this connectional sanctuary ministry. It supersedes all prior or contemporaneous Ministerial Covenant of Leadership Association/Affiliation agreements, representations, warranties, and understandings concerning Shekhinah Christian Life Institutional Fellowship/Transnational Ministries, its Official Doctrine and Discipline, and Official/Secondary Websites. Shekhinah Christian Life Institutional Fellowship may amend the Ministerial Covenant of Leadership Association/Affiliation agreement from time to time in its sole discretion, without specific notice to an applicant; provided, however, that any amendment or modification to the arbitration provisions, prohibition on class actions provisions, or any other provisions applicable to alternative dispute resolutions (collectively entitled the Dispute Resolution Provisions.) shall not apply to any disputes arising prior to the applicable amendment or modification. The latest Ministerial Covenant of Leadership Association/Affiliation may be included within the Official Doctrine and Discipline and issued by request on the Official/Secondary Websites; therefore, an inquirer should review the Ministerial Covenant of Leadership Association/Affiliation before using the Official Doctrine and Discipline and Official/Secondary Websites. An individual’s continued use of the Official Doctrine and Discipline and Official/Secondary Websites, such party hereby agrees to comply with, and be bound by all the terms and conditions contained within the Ministerial Covenant of Leadership Association/Affiliation effective at that time (other than with respect to disputes arising prior to the amendment or modification of the Dispute Resolution Provisions), which shall be governed by the Dispute Resolution Provisions then in effect at the time of the subject dispute). Therefore, all interested parties should regularly check with the Governors Consulant of Shekhinah Christian Life Institutional Fellowship regarding updates and changes.
